1. Acceptance of Terms

By accessing or using the ProfitLeaks platform, provided by BrightBrain LLC ("we," "us," or "our"), via brightbrain.biz or profitleaks.app, you agree to comply with and be bound by these Terms and Conditions. These terms govern your use of our automated financial auditing software and related services. If you do not agree to these terms, you must not use the platform.

2. Use of Service & License

ProfitLeaks provides automated data reconciliation and fee-auditing tools for digital entrepreneurs. You are granted a non-exclusive, non-transferable, revocable license to use the tools solely for your internal business financial auditing purposes. Any unauthorized reproduction, modification, reverse-engineering, or distribution of our software or underlying code is strictly prohibited.

3. Subscription Fees, Billing, and Cancellations

To access the platform, you agree to pay all applicable subscription fees as detailed at the time of purchase. All payments are billed on a recurring subscription basis (monthly or annually) and are non-refundable unless stated otherwise. Failure to maintain an active payment method will result in immediate suspension of your access to the platform. You may cancel your subscription at any time through your dashboard settings.

4. User Responsibilities & Account Security

Users are responsible for maintaining the strict confidentiality of their account credentials and for all activities that occur under their account. You agree to provide accurate, current, and complete information during the registration process and to notify us immediately at support@profitleaks.app of any unauthorized use or security breaches.

5. Third-Party Integrations & Etsy API Disclaimer

ProfitLeaks relies on data provided via automated third-party platform integrations, including the Etsy API.

  • We do not guarantee the constant uptime, functionality, or availability of third-party APIs.

  • We are not responsible for any changes, data delivery failures, or account actions taken against your business storefront by external marketplaces.

  • Disclaimer: The term 'Etsy' is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.

6. Professional & Financial Advice Disclaimer

ProfitLeaks is an automated data processing tool designed for informational purposes only. BrightBrain LLC does not provide certified public accounting (CPA), legal, financial auditing, or professional tax advice. The information generated by our tools should not be used as a substitute for professional consultation. You are solely responsible for verifying the accuracy of your financial statements and tax filings.

7. Intellectual Property

All content, branding, trademarks, logos, system architectures, and software code associated with ProfitLeaks are the exclusive property of BrightBrain LLC. No right, title, or interest in any intellectual property is transferred to you except for the limited operational license expressly granted herein.

8. Limitation of Liability & "As-Is" Warranty
  • PROFITLEAKS IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHTBRAIN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TAX PENALTIES, OR BUSINESS INTERRUPTIONS ARISING OUT OF YOUR USE OF THE SERVICE.
  • IN NO EVENT SHALL THE TOTAL AGGREGRATE LIABILITY OF BRIGHTBRAIN LLC EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL FEES PAID BY YOU TO BRIGHTBRAIN LLC FOR THE USE OF THE PLATFORM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
9. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by, interpreted, and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any legal dispute, claim, or litigation arising under this agreement shall be brought exclusively in the state or federal courts located in or serving Clay County, Missouri, and you hereby consent to the personal jurisdiction of such courts.

10. Modifications to Terms

BrightBrain LLC reserves the right to modify these Terms and Conditions at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of this document. Continued use of the service following such changes constitutes your binding acceptance of the revised terms.
